Discontinuance or material modification to the Services (or any part thereof),

Goodwill All goodwill generated from the use of your name and logo will exclusively benefit you. We acknowledge that any positive association arising from our public acknowledgment of you as a client enhances your reputation alongside ours.
Opt-Out Option If you prefer that we do not use your name or logo in any of our promotional materials, you have the option to opt-out by notifying us in writing. We respect your privacy and brand image, and will comply with your wishes regarding the use of your corporate identity.

Defense and Control: In the event of any third-party claims that you are obligated to indemnify Connektd against, we reserve the right to take over the exclusive defense and control of such claims. You are required to cooperate with our defense of these claims and may not settle any such claims without our explicit consent.
Term and Termination

Termination by User
User Initiated Termination: You have the right to terminate this Agreement at any time. To do so, you must close your account through the Service's account management settings, cease using the Service, and notify Connektd in writing of your decision to terminate. Termination will take effect immediately upon receipt and acknowledgment of your notification by Connektd.

Right to Terminate: Connektd reserves the right to terminate your access to the Services at any time, with or without cause, and with or without notice. Such termination may include deactivating your account and deleting all related information and files associated with it. This action may be immediate and without prior notice to preserve the security, integrity, and operation of our Services.
Reasons for Termination: Termination may occur for reasons including, but not limited to:
A breach of the Terms, including violations of user conduct guidelines or unauthorized use of the Services.
Legal demands or requests by law enforcement or other government entities.
The discontinuation or significant modification of the Services, or parts thereof.
Operational difficulties or unforeseen technical issues.
Prolonged inactivity in your account that affects the Service’s deployment.
Effects of Termination
Access Revocation: Immediately upon termination, your right to access and use the Services will cease.
Survival of Provisions: Even after your account is terminated, certain sections of these Terms will continue to apply, including ownership rights, indemnity obligations, warranty disclaimers, and limitations of liability.
Data Handling Post-Termination: Connektd may remove or delete any data or content associated with your account promptly following termination.

Notices to either party are deemed effective when received and can be delivered in several ways, ensuring flexibility and confirmation of receipt:
In Person: Direct delivery to designated representatives at the agreed addresses.
Via Email: Sent to the official email address designated by each party. An email notice is considered effective when the sender receives confirmation of receipt from the recipient.
Written Communication: Notices sent by postal mail, courier, or fax to the addresses designated by each party. Notices sent by postal mail or courier are deemed effective based on the postmark or date stamp on the receipt from the courier service. Notices sent by fax are considered effective upon confirmation of transmission.
Assignment
Restrictions on User Assignment:You may not assign, transfer, or delegate any of your rights or obligations under these Terms without the prior written consent of Connektd. Any unauthorized assignment or transfer by you will be considered null and void.
Connektd's Right to Assign: Connektd may assign, transfer, or subcontract any of our rights or obligations under these Terms to any third party at our discretion without restriction. Such assignments could be part of a corporate restructure, sale, or for operational reasons, and do not require your consent.
Successors and Assigns: This Agreement shall bind and inure to the benefit of the parties, their successors, and permitted assigns. This ensures continuity of obligations and rights under the terms of this Agreement, regardless of changes in the business's ownership or structure.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state or country in which Connektd's headquarters is located. This choice of law applies regardless of your location or the jurisdiction from which you access our services, and without regard to conflicts of law principles that would require the application of any other law.
Jurisdiction
All legal proceedings arising out of or in connection with this Agreement shall be brought exclusively in the courts located in the jurisdiction where our business is headquartered. By agreeing to these Terms, you consent to submit to the personal jurisdiction of these courts for the purpose of litigating all such disputes. This ensures that any disputes will be resolved within a consistent legal framework, providing predictability and security for both parties involved.
Cumulative Rights
The rights and remedies provided in this Agreement are cumulative and are meant to augment and not restrict any rights or remedies that are otherwise available under law or in equity. This means that the exercise of one remedy does not exclude the exercise of another, and you are entitled to seek relief as permitted by law in addition to what is granted in this Agreement.
Force Majeure
Definition: A "Force Majeure" event refers to any circumstance beyond the reasonable control of either party that prevents fulfilling their obligations under this Agreement, such as natural disasters (earthquakes, hurricanes), war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
Liability Exemption: In the event of a Force Majeure, neither party shall be held liable for delays or failures in performance resulting from causes beyond their reasonable control. This exemption does not apply to financial obligations incurred prior to the Force Majeure event.
Notification and Mitigation: The affected party should notify the other party as soon as possible, detailing the nature and expected duration of the Force Majeure, and both parties shall cooperate to mitigate the effects of the Force Majeure event as reasonably necessary.
Severability
If any provision of this Agreement is deemed unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions. This ensures that the rest of the Agreement continues to be in effect, providing stability and predictability in the business relationship.
Waiver
A waiver regarding any part of this Agreement does not imply a waiver of any other part or future enforcement. Failure or delay by either party to enforce the compliance of any term of this Agreement shall not prevent a subsequent act, which would have originally constituted a breach, from having all the force and effect of an original breach.
Entire Agreement
This Agreement constitutes the complete and exclusive understanding and agreement between the parties regarding its subject matter and supersedes all prior agreements, proposals, negotiations, representations, and communications relating to this subject matter. Both parties acknowledge that they have not been induced to enter into this Agreement by any representations or promises not specifically stated herein.
Amendments
Changes to this Agreement are valid only if they are made in writing and signed by authorized representatives of both parties, except where specified otherwise within the Agreement itself. In some cases, Connektd may unilaterally amend these terms, provided that such amendments are communicated in the manner specified in the Agreement and you have the opportunity to terminate your use should you not agree with the changes.
